Senior Corporate, Tax & Transactional Associate Attorney – Youngstown, OH
Roetzel & Andress is seeking an experienced Senior Associate Attorney to join our Corporate, Tax & Transactional practice in Youngstown, Ohio. This is an excellent opportunity for an attorney with significant corporate and transactional experience who enjoys sophisticated deal work while also serving as a trusted advisor to business clients.
Position Overview
Our Corporate, Tax & Transactional attorneys provide comprehensive legal counsel to businesses at every stage of their development. We advise businesses on day-to-day legal matters as well as the structure, strategy, and financing of domestic and international mergers and acquisitions.
The successful candidate will have significant experience with M&A transactions, corporate dealmaking, and financial due diligence, along with the ability to manage sophisticated transactional matters and work collaboratively with clients, attorneys, accountants, financial advisors, and other professionals.
Responsibilities
Represent clients in domestic and international mergers and acquisitions and other corporate transactions
Draft, review, and negotiate purchase agreements, operating agreements, shareholder agreements, and other corporate and transactional documents
Provide counsel regarding the structuring, strategy, financing, and execution of business transactions
Conduct and oversee legal and financial due diligence in connection with mergers, acquisitions, and other transactions
Advise businesses on day-to-day corporate and transactional legal matters
Assist clients with corporate governance, entity structuring, reorganizations, and related business matters
Manage transactions from initial due diligence and negotiations through closing
Coordinate effectively with clients and their accounting, tax, financial, and other professional advisors
Conduct sophisticated legal research and provide practical, business-focused advice
Manage multiple transactions, client matters, and deadlines effectively
Develop and maintain strong relationships with clients and colleagues
Demonstrate initiative, sound judgment, and a commitment to professional development
Qualifications
5–7 years of relevant corporate and transactional legal experience
Significant experience with mergers and acquisitions and corporate dealmaking
Demonstrated experience conducting and analyzing financial and legal due diligence
Strong drafting and negotiation skills involving complex corporate and transactional documents
Experience counseling businesses on general corporate and day-to-day legal matters
Strong analytical, research, writing, and problem-solving skills
Ability to understand the business and financial considerations underlying a transaction, not simply the legal issues
Ability to manage multiple complex matters and deadlines effectively
Excellent client-service and interpersonal skills
Strong work ethic and desire for continued professional development
Interest in leveraging AI and emerging technology to enhance the delivery of legal services
Licensed to practice law in Ohio
